These Terms of Service ("Terms") govern access to and use of SchoolFlow ERP ("SchoolFlow", "Platform", "Service", "we", "us" or "our"), operated by RUSHDAH INNOVATIVE RESOURCE LTD., a company registered in United Kingdom, with its registered office at Office 237 18 Young St, Unit Lge, Edinburgh, Scotland, United Kingdom, EH2 4JB.

By creating an account, subscribing to SchoolFlow, accessing the Platform or otherwise using the Service, you agree to these Terms.

If you are accepting these Terms on behalf of a school, educational institution, company or other organisation, you represent that you have authority to bind that organisation.

1. About SchoolFlow

SchoolFlow is a cloud-based school enterprise resource planning and management platform designed to help educational institutions manage student information, academic records, assessments, report cards, student activities, school fees, payments, outstanding balances, accounting information, reporting and related administrative functions.

The specific features available to a customer may depend on its subscription plan, configuration and product availability.

2. Eligibility

You must have the legal capacity to enter into a binding agreement to use SchoolFlow.

Where SchoolFlow is subscribed to by a school or organisation, the organisation is responsible for ensuring that its users are appropriately authorised to access the Platform.

Students, parents, guardians, teachers and other individuals may access SchoolFlow through accounts or interfaces provided or authorised by the subscribing school.

3. Account Registration

The customer is responsible for providing accurate and current registration information.

The customer is responsible for:

• maintaining the confidentiality of administrator credentials;
• controlling access to its SchoolFlow account;
• ensuring that users are properly authorised;
• promptly disabling accounts belonging to persons who no longer require access; and
• notifying SchoolFlow of suspected unauthorised access.

You must not share administrator credentials in a manner that compromises account security.

4. Customer Data

"Customer Data" means information submitted to SchoolFlow by or on behalf of a customer in connection with the use of the Service.

Customer Data may include student information, parent or guardian information, teacher and staff information, academic records, attendance information, financial records, payment information and other school-related information.

The customer retains ownership of its Customer Data.

Except as permitted by these Terms, the DPA or applicable law, SchoolFlow will not sell Customer Data.

5. School as Data Controller

Where the customer determines the purposes and means for processing personal data through SchoolFlow, the customer generally acts as the data controller or equivalent entity under applicable data-protection law.

SchoolFlow generally acts as a data processor or equivalent service provider in relation to Customer Data processed on the customer's instructions.

The parties' respective data-protection responsibilities are further described in the SchoolFlow Data Processing Agreement.

6. Customer Responsibilities

The customer is responsible for:

• determining what information is entered into SchoolFlow;
• ensuring that it has a lawful basis for processing personal information;
• providing appropriate privacy notices to students, parents, staff and other data subjects;
• obtaining any consent required by applicable law;
• ensuring that information submitted to SchoolFlow is accurate where required;
• ensuring that users have appropriate access permissions;
• using SchoolFlow in accordance with applicable laws; and
• responding appropriately to requests from data subjects.

Where children are involved, the customer is responsible for ensuring that its collection and use of children's information complies with applicable laws and safeguarding requirements.

7. Acceptable Use

You must not use SchoolFlow to:

• violate any applicable law;
• upload malicious software;
• attempt unauthorised access;
• interfere with the operation of the Platform;
• circumvent security controls;
• impersonate another person;
• distribute unlawful or harmful content;
• use the Platform to conduct fraudulent activities;
• intentionally overload the Platform;
• reverse engineer the Platform except where legally permitted;
• exploit vulnerabilities without authorisation; or
• use SchoolFlow in a manner that creates an unreasonable security, legal or operational risk.

Additional requirements are contained in the Acceptable Use Policy.

8. Subscription and Fees

SchoolFlow may be offered under paid subscription plans, free plans, trials, promotional plans or other arrangements.

Subscription fees, billing intervals, user limits, feature limits and other commercial terms are described on the applicable pricing page or order form.

Unless otherwise stated, subscriptions automatically renew for the selected billing period.

The customer authorises SchoolFlow or its designated payment provider to charge applicable subscription fees.

9. Taxes

Fees may exclude applicable taxes, levies, duties or governmental charges unless expressly stated otherwise.

The customer is responsible for taxes applicable to its purchase or use of the Service, except taxes imposed on SchoolFlow's income.

10. Payment Failure

If payment fails or remains outstanding, SchoolFlow may provide notice and allow a reasonable period for correction.

Where payment remains overdue, SchoolFlow may suspend or restrict access to the affected account.

SchoolFlow will make reasonable efforts to avoid unnecessary disruption to customer operations.

11. Free Trials

Where a free trial is offered, the trial period, features and limitations will be specified at the time of registration.

SchoolFlow may modify or discontinue a trial programme at any time.

Unless otherwise stated, no payment is required during the free trial period.

12. Intellectual Property

SchoolFlow and its underlying technology, software, interfaces, designs, trademarks, documentation and related materials remain the property of RUSHDAH INNOVATIVE RESOURCE LTD or its licensors.

These Terms do not transfer ownership of SchoolFlow to the customer.

The customer receives a limited, non-exclusive, non-transferable and revocable right to use the Service during the applicable subscription period.

13. Customer Content

The customer grants SchoolFlow the limited rights necessary to host, process, transmit, display and otherwise process Customer Data solely for the purpose of providing, securing, maintaining and improving the Service, subject to the DPA and applicable law.

SchoolFlow may use aggregated or de-identified information that does not identify a customer or individual for analytics, service improvement and product development, where permitted by applicable law.

14. Third-Party Services

SchoolFlow may integrate with third-party services including payment providers, email services, cloud infrastructure, analytics providers and other technology providers.

Third-party services may be governed by their own terms and privacy policies.

SchoolFlow is not responsible for services that it does not control.

15. Availability

SchoolFlow will use commercially reasonable efforts to keep the Service available.

Service availability commitments, maintenance procedures, support levels and exclusions are described in the Service Level Agreement.

16. Maintenance

SchoolFlow may perform scheduled or emergency maintenance.

Where reasonably practicable, advance notice will be provided for scheduled maintenance likely to materially affect availability.

Emergency maintenance may be performed without advance notice where necessary to protect security, integrity or availability.

17. Security

SchoolFlow will maintain reasonable technical and organisational measures designed to protect Customer Data against unauthorised access, loss, alteration, disclosure or destruction.

The customer's security responsibilities remain important, including credential management, user permissions and secure device usage.

18. Data Protection

SchoolFlow processes personal information in accordance with its Privacy Policy and, where applicable, the Data Processing Agreement.

Where applicable, SchoolFlow will comply with the Nigeria Data Protection Act 2023 and other data-protection laws applicable to its processing activities.

19. Confidentiality

Each party agrees to protect confidential information received from the other party and use it only for legitimate purposes connected with the relationship.

Confidential information does not include information that:

• is publicly available without breach;
• was already lawfully known;
• is independently developed; or
• must be disclosed by law.

20. Suspension

SchoolFlow may temporarily suspend access where reasonably necessary to:

• protect the Platform;
• address a security threat;
• prevent unlawful activity;
• comply with law;
• address material breach of these Terms; or
• address serious non-payment.

Where practicable, SchoolFlow will notify the customer before suspension.

21. Termination

Either party may terminate a subscription in accordance with the applicable subscription terms.

SchoolFlow may terminate or suspend an account for material breach where the breach remains uncured after reasonable notice.

Upon termination, the customer's right to access the Service will end subject to any applicable data-export period.

22. Data Export and Deletion

Following termination, SchoolFlow may provide a reasonable period during which the customer can export Customer Data, subject to the customer's plan and applicable technical capabilities.

After the applicable retention period, SchoolFlow may delete Customer Data unless retention is required by law or necessary for legitimate legal purposes.

23. Refunds

Refund eligibility is governed by the SchoolFlow Refund and Cancellation Policy and any specific commercial terms agreed with the customer.

24. Disclaimer

SchoolFlow is provided as a technology platform and is not a substitute for professional educational, legal, accounting, financial, safeguarding or regulatory advice.

The customer remains responsible for decisions made using information generated through the Platform.

Except where expressly stated, SchoolFlow does not guarantee that the Service will be uninterrupted or completely error-free.

25. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential or punitive damages arising from the use of the Service.

Subject to applicable law, SchoolFlow's aggregate liability arising from the Service will not exceed the fees paid by the customer to SchoolFlow during the [12] months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

26. Indemnification

To the extent permitted by law, the customer agrees to indemnify SchoolFlow against claims arising from:

• unlawful use of the Service;
• violation of these Terms;
• infringement of third-party rights through Customer Data; or
• the customer's failure to comply with applicable laws.

27. Changes to the Service

SchoolFlow may modify, enhance or discontinue features from time to time.

Where a material change substantially reduces the functionality of a paid service, SchoolFlow will provide reasonable notice where practicable.

28. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated through the Platform, website or other appropriate means.

Continued use after the effective date constitutes acceptance of the updated Terms where permitted by law.

29. Governing Law

These Terms are governed by the laws of United Kingdom.

The Supreme Court of the United Kingdom will have jurisdiction over disputes arising from these Terms, subject to any mandatory rights or dispute-resolution provisions applicable to the customer.
